Payment and Agreement Information: Services

*CA residents, California current tax rate is applied unless you have a Resale No. let me know and I’ll send you the form to fill out and fax back to me. Additions / extra charges will be added in final Invoice if applicable. Minimum time for any project is seven week-days, a rush is charged for any project requested faster than the minimum for it’s type of project. TBD indicates “to be determined” and therefore, estimate amount might change depending on what is to be done. All amounts in USD.

Over the years and many projects these are the items most often of concern for you and me…so, I’ve written them up and all is open to discussion if not clear and adjustable before project starts based on individual circumstances.

—At the end of the project (COMPANY) will supply the client with a link for the zip of all files used in project for download from server to be backed up by client to CDs. Client agrees to send (COMPANY)) one copy of printed book for (COMPANY) files and releases use of book design to (COMPANY) for use in (COMPANY) promotional materials and website. If (COMPANY) agrees, credit for her design will appear on the copyright page and reflect what part of the project was her’s. Book, Cover, or Interior Design company website

Any estimates requested are good for at least 30 days from date given. Price quoted applies only if project proceeds on a continuous basis, no stops or put-offs. Although this is rare I need to mention it, once project begins, any delays not mentioned may result in additional charges. If a project is to be put on hold, the full amount is to be paid and when client returns, project will be finished and any outstanding additional charges will be billed at the end of the project.

The client understands and agrees that their project cannot be accomplished without their involvement and they will do their best and participate in creative discussion, and proof as necessary to help move project to speedy completion so any deadlines are met. A base time to allow from the time all material is received for basic cover is 7-10 weekdays, and for interior allow 2-5+ weeks (does not include weekends). When cover and interior are done at the same time allow 2-5 weeks. Each project is different and time to allow is determined by what your project needs, we’ll discuss your deadline and move towards it. There might be an additional charge if the following occur: creating a series look for the cover; one creative discussion and photo guidance is included, if client changes their mind and a second discussion plus photo guidance is needed; the interior is guestimated (seen or not and there is a 100 page min price) once into the project if the text, lists, etc. is more extensive than originally observed and stated formatting requirements; if once the manuscript is formatted client decides to reformat to a different page count, the greater page count is charged and a reformat charge is added; proofs beyond the two included; photoshop of images.

— Payment (in USD) is 50% deposit to begin and 50% plus any additional charges are due upon completion unless project being done begins to exceed estimated amount, then an in-between payment may be requested. Consulting is paid by the hour in advance. Once final payment is received files will be sent. All Invoices are due upon receipt.

Please note there will be additional charges during project if I do any photoshop of images and if there are proof changes beyond the two included and will be billed at the end $150 per hour min and amount may be unknown until project is done. Photo retouching priced based on what is to be done and when an image will need photoshop there is an additional charge added for that. Some additional charges might be: covers – proofs beyond the two included, additional photos beyond the one included and ones used to create a blending count in this; on interiors–multiple text insertions after formatting has been started and proofs/corrections beyond the two included (not more than twenty-five changes, any additional beyond the twenty-five are charged for) multiple photos / graphs or charts, placement of text box pull-outs. Basically, know that there will be additional charges if 1. photoshop of images and 2. multiple proofs for cover or interior beyond the two included. All interior proof changes are to be submitted noted clearly on hard copy and mailed or faxed. If we have a creative discussion and you don’t begin the process within 1 month and we need to have another conversation—there might be an additional charge for this time. Client certifies they own the copyrights to, or have permission to use, any copy/manuscript, concept and images supplied. NOTE: if I need to hold the cover project, once completed except for the back and/or spine size, for more than 10 days, or if you need to use the image for marketing, I need full payment before I release any project files.

(COMPANY)(client signs an estimate, if estimate has changed since this content was posted the estimate is the current ways of doing business unless otherwise agreed) is responsible for creative design of the cover, interior, marketing materials or website as a design project, based on discussions and what is ordered and paid for unless something happens to prevent the project from continuing. Client is responsible for payment of agreed project upon original and any additional charges (photoshop, research, multiple proof changes) and all final proofing. When payment is made with check, credit card or online payment such as PayPal no reversal of payment can be initiated without proper discussion or (COMPANY) approval, no law suits. In the rare case that client is not happy with project at any point, there will be a discussion between the two parties to determine best way to finish project to benefit all concerned. Once any part of the project is done, all payments will reflect that. Creative discussion is considered part of the project as well as time spent with client at photo site discussing concept. If either party chooses to end project, any job where creative discussions, checklist review, photo review or interior layout design has been done there is a kill fee of at least $TBD and/or based on any part of the project started/developed (note: your full deposit will not be refunded). If we have a creative discussion and you don’t begin the process within one-month and we need to have another conversation—there might be an additional charge for this time. Creating a ‘series look’ may add to the overall price if not already stated on estimate. There might be a need for an in-between payment if the project being done starts to add up to an uneven owed amount vs. paid. Upon receipt of final payment rights transfer to client and the file download link will be released. (COMPANY) cannot guarantee storage of files, once the zip download is received, keep them safe! Minimum time for a project is seven-week days. Rush charges of 100% may be applied if client requests to shorten any stated timeline. If client decides to have project done elsewhere after creative design project is started with (COMPANY), the new creativity needs to be different from the design interpretation that (COMPANY) created, unless total amount is paid in full for release of (COMPANY) rights to project design interpretation. If project is to be put off until interior is done and (COMPANY) is not doing the interior, the full amount of the cover needs to be paid in full and (COMPANY) will create zip file to download files. This agreement is confidential and only meant for the viewing of the client named. (COMPANY) will not reveal confidential information entrusted to them by a client to any third party. This includes manuscript material and/or financial information acquired in the course of our transaction. (COMPANY) may answer questions and make suggestions, (COMPANY) is not a lawyer and any all suggestions need to be confirmed by personal research or with legal council. Client sign off/email/fax approval releases (COMPANY) from any further project responsibility beyond first printing to be sure files are up to printing specs. Pricing may be subject to yearly increases, there is no set consistent price. Client agrees to photo terms of use stated at photo sites, gettyimages.com, bigstockphoto.com, istockphoto.com, photodisc.com, fotosearch.com and any other sites used for their project imagery, it is preferred that client opens their own account for the images to be purchased through. Note: If you ever need me to resend any files, there is a charge for my time, so be sure to back the final zip so you don’t lose anything. Note: (COMPANY) might use testimonials and excerpts from coaching/consulting sessions as content, research, faq etc on website or products. Once final payment is received for agreed creative project design(s), client retains exclusive rights to creative design (except for allowing (COMPANY) irrevocable rights to use cover image, interior layout, any website, logos, marketing materials or any project design contracted for use and display whether it be promotional materials, seminars, handouts etc. and website even if client changes the visuals down the road). (COMPANY)reserves the rights to modify or change any ways-of-doing-business statements at all and herein without notice.

General

If any provision of these Terms of Use is held invalid or unenforceable in any respect by any court having competent jurisdiction, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions of these Terms of Use shall continue in full force and effect. No waiver of any provision of these Terms of Use shall be deemed a further or continuing waiver of such provision or any other provision of these Terms of Use.

You agree that these Terms of Use, our Privacy Policy and other notices posted on this Web site have been drawn up in English. Although translations in other languages of any of the foregoing documents may be available, such translations may not be up to date or complete. Miscellaneous
These Terms of Use will be governed and interpreted pursuant to the laws of California, United States of America, notwithstanding any principles of conflicts of law. You specifically consent to personal jurisdiction in California in connection with any dispute between you and Company arising out of these Terms of Use or pertaining to the subject matter hereof. The parties to these Terms of Use each agree that the exclusive venue for any dispute between the parties arising out of these Terms of Use or pertaining to the subject matter of these Terms of Use will be in the state and/or federal courts in Los Angeles County, California. If any part of these Terms of Use is unlawful, void or unenforceable, that part will be deemed serve-able and will not affect the validity and enforceability of any remaining provisions.
